Terms of Service

1. Acceptance of Terms

By accessing or using BidSync AI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and BidSync AI, Inc. ("Company," "we," "our," or "us").

2. Description of Service

BidSync AI is a construction project management platform providing bid management, project tracking, financial management, safety compliance, field operations, and integrated accounting tools. The Service is provided "as is" and may be modified, updated, or discontinued at our discretion.

3. Account Registration

You must provide accurate, complete information during registration. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4. Subscription and Payment

The Service requires a paid subscription. By subscribing:

  • You authorize recurring charges to your payment method
  • Subscriptions auto-renew unless cancelled before the billing cycle
  • All fees are non-refundable except as required by applicable law
  • We reserve the right to change pricing with 30 days' notice

5. User Content

You retain ownership of all data, documents, and content you upload to the Service ("User Content"). By uploading content, you grant us a limited license to host, store, and process it solely for providing the Service. We will not access, use, or share your User Content except as necessary to operate the Service or as required by law.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or redistribute the Service without written authorization
  • Use automated systems to access the Service without our permission

7. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by BidSync AI, Inc. and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the subscription term.

8. Third-Party Integrations

The Service may integrate with third-party services (for example email providers, AI providers, Stripe). Your use of these integrations is subject to the respective third party's terms. We are not responsible for third-party service availability, data accuracy, or security.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDSYNC AI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE. Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless BidSync AI, Inc. and its officers, directors, employees, and agents from any claims, losses, or damages arising from your use of the Service or violation of these Terms.

12. Termination

Either party may terminate this agreement. Upon termination, your access to the Service will cease. We will provide a 30-day data export period upon termination for accounts in good standing. We may retain data as required by law.

13. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Maricopa County, Arizona.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated 30 days in advance via email or in-app notice. Continued use after changes take effect constitutes acceptance.
